These Terms & Conditions ("Terms") form a legally binding agreement between you ("you", "Athlete", "User") and CoachEasy Inc. and/or its affiliated entities ("CoachEasy", "we", "us", "our") regarding your access to and use of the CoachEasy website, mobile applications, and related services (collectively, the "Platform").

By creating an account, accessing, or using the Platform, including browsing coach listings or booking a coaching session (a "Session"), you agree to be bound by these Terms and our Privacy Policy (collectively, the "Agreement"). If you do not agree, do not use the Platform.

1. Nature of the Platform and Our Role

 

1.1 Marketplace only
 CoachEasy operates a digital marketplace that connects independent coaches ("Coaches") with athletes/users seeking training services ("Sessions"). We provide listing, discovery, communication, and payment facilitation tools. CoachEasy is not a coach, training facility, sports organization, or employer of Coaches.

1.2 No party to coaching contract
 The actual Session and any coaching services are solely between you and the relevant Coach. When you book a Session, you enter into a separate contract directly with the Coach, and not with CoachEasy. We do not control or supervise Coaches, their methods, or their results.

1.3 No guarantee of results or safety
 We do not guarantee that:

  • a Coach is qualified, insured, or appropriate for your needs;
  • a Session will be safe, effective, or achieve any particular performance, fitness, or health outcome; or
  • the Coach will perform in any particular manner.
Sports and physical training carry inherent risks. You participate at your own risk.

2. Eligibility and Accounts

 

2.1 Age requirements
 You must be:

  • at least 18 years old and able to enter into legally binding contracts; or
  • using the Platform under the supervision of a parent or legal guardian who creates and controls the account and assumes full responsibility for your use, including acceptance of these Terms.

2.2 Account registration
 You must create an account to book Sessions. You agree to:

  • provide accurate, current, and complete information;
  • keep your login credentials secure; and
  • promptly update your information as needed.

You are responsible for all activities that occur under your account, whether authorized by you or not.

2.3 Account security
 You must not share your password with any unauthorized person. If you suspect unauthorized use, you must immediately notify CoachEasy. We may suspend or terminate access if we suspect your account is compromised.

3. User Content and Profiles

3.1 Your content is yours
 You may upload or submit content, including but not limited to your name, photos, profile information, messages, reviews, and any other materials ("User Content").

3.2 You are responsible for your content
 You acknowledge and agree that:

  • All profile information and photos are uploaded by you (the account holder), and CoachEasy is not responsible for such content.
  • You have all necessary rights, licenses, permissions, and consents to upload and use the User Content.
  • Your User Content does not infringe or violate any intellectual property, privacy, publicity, or other rights of any third party, and does not violate any law.

3.3 License to CoachEasy
 By submitting User Content, you grant CoachEasy a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, adapt, modify, translate, publish, transmit, display, and distribute your User Content on or through the Platform and in connection with marketing and promoting CoachEasy, in any media formats and channels, for so long as it is needed for these purposes.

3.4 Prohibited content
 You may not upload or post any content that:

  • is illegal, fraudulent, misleading, defamatory, harassing, threatening, hateful, discriminatory, or otherwise objectionable;
  • is sexually explicit or exploitative, or depicts minors in an inappropriate or unsafe manner;
  • includes personal data of third parties without consent;
  • contains malware, spam, or any malicious code.
We may remove or disable access to any User Content, or terminate your account, at our sole discretion.

4. Booking, Payments, and Fees

4.1 Booking a Session
 You may book Sessions with Coaches listed on the Platform. The listing will typically specify:

  • session type, duration, and location (in-person or online);
  • price and currency;
  • any coach-defined cancellation/rescheduling policies; and
  • any special conditions or requirements.

You are responsible for reviewing all details before confirming a booking.

4.2 Merchant of Record and payment processing
 CoachEasy (or a third-party payment provider acting on our behalf) acts as the merchant of record for transactions on the Platform. We:

  • collect payment from you;
  • deduct applicable CoachEasy service fees; and
  • remit payouts to the Coach after the Session, according to our payout schedule.

4.3 Your payment obligations
 By submitting a booking, you authorize CoachEasy and its payment providers to charge your chosen payment method for:

  • the Session price set by the Coach; and
  • any applicable service fees, taxes, or charges disclosed at checkout.

4.4 Service fees
 CoachEasy may charge service and/or processing fees to you and/or the Coach. These fees will be disclosed at or before checkout and are generally non-refundable unless otherwise stated.

4.5 Cancellations, rescheduling, and no-shows

  • Each Coach may define their own cancellation and rescheduling policies (e.g., notice periods, partial refunds). These will apply to your booking.
  • If you cancel or do not attend a Session, any refund will be determined according to the applicable policy and Platform rules.
  • CoachEasy may set minimum or default policies that apply where a Coach has not set their own.

4.6 Refunds and CoachEasy's limited responsibility
 Except as required by law:

  • CoachEasy's maximum liability in connection with any booking is limited to a refund of the transaction amount for that specific Session (excluding any non-refundable fees where permitted by law).
  • We are not responsible for injuries, damages, losses, or disputes arising from the Session itself or from the conduct, omissions, or performance of any Coach or Athlete.

5. Health, Safety, and Assumption of Risk

5.1 Health and medical considerations
 Physical training and sports activities involve inherent risks, including serious injury or death. By participating in any Session:

  • you represent that you are in appropriate physical and mental condition to participate;
  • you have consulted a physician if you have any medical concerns; and
  • you will not participate if a healthcare provider has advised against it.

5.2 You assume all risks
 To the fullest extent permitted by law, you voluntarily assume all risks associated with your participation in any Session, including risks arising from:

  • the acts or omissions of the Coach;
  • the environment or facilities used;
  • equipment or training methods; or
  • other participants.

5.3 Release of CoachEasy
 To the fullest extent permitted by law, you release CoachEasy and its officers, directors, employees, agents, and affiliates from any and all claims, demands, losses, damages, liabilities, and expenses (including legal fees) arising from or related to your participation in Sessions or your interactions with Coaches or other users, except to the limited extent of any refund obligation described in Section 4.6.

This release does not apply where prohibited by law or in cases of gross negligence, intentional misconduct, or other non-excludable liability by CoachEasy.

6. Code of Conduct

You agree that you will not:

  • use the Platform for any unlawful purpose or in violation of any applicable law;
  • harass, threaten, abuse, or harm any Coach, Athlete, or other user;
  • attempt to circumvent the Platform by arranging payments off-platform for services discovered through CoachEasy;
  • misrepresent your identity, your age, or your skills/health status;
  • upload or transmit any malicious code;
  • interfere with the proper functioning or security of the Platform;
  • spam or solicit other users for purposes unrelated to training sessions.
CoachEasy may, at its sole discretion, suspend, restrict, or terminate your account or access to the Platform in response to any violation or suspected violation of these Terms.

7. Reviews and Feedback

7.1 User reviews
 You may submit ratings and reviews of Coaches and Sessions. Reviews must be honest, accurate, and not misleading, defamatory, or abusive.

7.2 Use of feedback
 CoachEasy may display, analyze, and use ratings, reviews, and other feedback to operate, improve, and promote the Platform. We may remove or decline to publish any review at our discretion.

8. Intellectual Property

8.1 Platform IP
 The Platform, including all software, text, images, graphics, logos, trademarks, and other content (excluding User Content), is owned by or licensed to CoachEasy and is protected by intellectual property laws. You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes.

8.2 Restrictions
 You may not:

  • copy, modify, reverse engineer, decompile, or create derivative works from the Platform;
  • scrape, crawl, or use automated means to access the Platform except as allowed by our robots.txt;
  • use our trademarks, logos, or branding without prior written permission.

9. Privacy and Data

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect personal data. By using the Platform, you consent to our data practices as described in the Privacy Policy.

10. Disclaimers, Limitation of Liability, Indemnity

10.1 Disclaimers
 To the fullest extent permitted by law, the Platform and all services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to merchantability, fitness for a particular purpose, non-infringement, safety, availability, or reliability.

CoachEasy does not endorse or guarantee any Coach, Session, or User, or any statement, representation, or content made by them.

10.2 Limitation of liability
 To the fullest extent permitted by law:

  • CoachEasy's total aggregate liability arising out of or in connection with the Platform and any Session shall not exceed the amount you paid for the specific Session giving rise to the claim, and only in the form of a refund as described in Section 4.6.
  • CoachEasy shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, or loss of goodwill, even if advised of the possibility of such damages.

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law.

10.3 Indemnity
 You agree to indemnify and hold harmless CoachEasy and its officers, directors, employees, and agents from and against any claims, demands, damages, losses, and expenses (including legal fees) arising out of or related to:

  • your use of the Platform;
  • your participation in any Session;
  • your User Content; or
  • your breach of these Terms or violation of any law or third-party rights.

11. Termination and Suspension

CoachEasy may, at any time and at its sole discretion, suspend, limit, or terminate:

  • your account;
  • your access to the Platform; or
  • any booking,
if we reasonably believe you have violated these Terms, pose a risk to other users, or for any other valid business reason. You may stop using the Platform at any time and request account deletion, subject to our retention obligations under law.

12. Changes to the Terms

We may modify these Terms from time to time. When we do, we will post the updated Terms on the Platform and update the "Last updated" date. Continued use of the Platform after changes become effective constitutes your acceptance of the updated Terms.

13. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or in connection with them shall be governed by the laws of the jurisdiction where CoachEasy is organized or as otherwise specified on the Platform, without regard to conflict of laws rules.

Any disputes that cannot be resolved informally shall be submitted to the courts or dispute resolution forum specified on the Platform. Where arbitration or mediation is mandated by law or by supplemental terms, those procedures will apply.

14. Miscellaneous

  • Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and CoachEasy regarding the Platform.
  • Severability: If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • No waiver: Failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign or transfer our rights and obligations in connection with a merger, acquisition, or sale of assets, or by operation of law.
